Terms of Service
1. Acceptance of Terms
By accessing or using the Hospara platform ("Service"), operated by Hospara ("Company", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms apply to all users including property owners, managers, and authorized staff members ("Users").
2. Description of Service
Hospara provides an AI-powered property operations platform that integrates with existing hospitality management tools. The Service includes AI agents that assist with revenue management, guest communications, reservations, housekeeping coordination, and other property operations tasks. The Service is currently in Early Access. Features, pricing, and availability may change as we develop the platform.
3. Account Registration
To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You must be at least 18 years old and have the legal authority to bind the entity you represent. You agree to notify us immediately of any unauthorized access to your account.
4. Permitted Use
You may use the Service solely for legitimate hospitality property management operations. You agree not to use the Service for any unlawful purpose; attempt to gain unauthorized access to our systems or other users' accounts; reverse engineer, decompile, or disassemble any part of the Service; use the Service to transmit malware or harmful code; resell, sublicense, or redistribute the Service without our written consent; or use the Service in a way that could damage, disable, or impair our infrastructure.
5. AI Agent Operations
Hospara's AI agents operate within boundaries configured by you. You acknowledge that AI agents may make recommendations or take automated actions based on your configured rules; you are responsible for setting appropriate approval thresholds and autonomy levels; you should review agent actions regularly through your daily briefing and activity logs; while we strive for accuracy, AI-generated actions may occasionally contain errors; and final responsibility for business decisions made through the Service rests with you.
6. Third-Party Integrations
The Service integrates with third-party platforms (including but not limited to Hostaway, SiteMinder, Booking.com, Airbnb, and Google). These integrations are subject to the respective third-party terms. We are not responsible for third-party service outages, changes, or data handling practices. You are responsible for maintaining valid credentials and authorizations for any third-party services you connect to Hospara.
7. Pricing and Payments
Current pricing is displayed on our website. We reserve the right to modify pricing with 30 days' written notice. Subscription fees are billed monthly or annually depending on your selected plan. All fees are non-refundable except where required by applicable law. If you cancel your subscription, you will retain access until the end of your current billing period.
8. Data Ownership
You retain full ownership of all data you provide to the Service ("Your Data"). We do not sell or share Your Data with third parties for marketing purposes. Our use of Your Data is limited to providing and improving the Service, as detailed in our Privacy Policy.
9. Intellectual Property
The Service, including all software, design, text, and branding, is the intellectual property of Hospara or its licensors. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described here.
10. Limitation of Liability
To the maximum extent permitted by law, Hospara shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, data, or business opportunities, arising from your use of the Service. Our total liability for any claims arising from these Terms or the Service shall not exceed the total fees paid by you in the 12 months preceding the claim.
11. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure. During Early Access, the Service may experience downtime, bugs, or unexpected behavior.
12. Indemnification
You agree to indemnify and hold harmless Hospara and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
13. Termination
Either party may terminate these Terms at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Upon termination, your right to use the Service ceases immediately, and we will make Your Data available for export for 30 days.
14. Modifications to Terms
We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance.
15. Governing Law
These Terms are governed by the laws of the Republic of Indonesia. Any disputes shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the courts of Denpasar, Bali, Indonesia.
